Terms & Conditions
1. GENERAL
In these Terms & Conditions, the following expressions shall have the following meanings:
- “Buyer” refers to the individual or other party placing an Order with AlumExperts Ltd.
- “Contract” denotes a contract between AlumExperts Ltd. and the Buyer for the sale and purchase of Goods/Services, subject to these Conditions.
- “Date of Delivery” signifies the date on which delivery of the Goods or Services occurs.
- “Goods” encompass the goods, services, or items supplied by AlumExperts Ltd. under the Contract.
- “Order” pertains to the Buyer’s order for the Goods, as specified in the Buyer’s purchase order or the Buyer’s written acceptance of AlumExperts Ltd.’s quotation.
- “Seller” refers to AlumExperts Ltd.
- “Writing” includes facsimile transmission, electronic mail, and other comparable means of communication.
2. ORDERS, ACKNOWLEDGEMENTS, CONDITIONS AND VARIATIONS
- 2.1 No Order shall be binding on AlumExperts Ltd. unless and until it has been acknowledged in Writing.
- 2.2 These Conditions are integral to the Contract, prevailing over any inconsistencies between any letter or quotation incorporating or referring to these Conditions and any Order, letter, or form sent by the Buyer.
- 2.3 These Conditions apply to all sales by AlumExperts Ltd., and any variation shall have no effect unless expressly agreed in Writing.
3. GOODS
- 3.1 The description of the Goods and/or Services shall be set out in AlumExperts Ltd.’s quotation and/or written order acknowledgment.
- 3.2 Any figures, statements, descriptions, illustrations, photographs, drawings, weights, or other matters in AlumExperts Ltd.’s literature are not guaranteed to be accurate and represent a general picture of the products and services.
- 3.3 The Buyer’s specification of goods should be stated in the Order, with AlumExperts Ltd. reserving the right to change or modify specifications.
4. INTELLECTUAL PROPERTY AND LEGAL COMPLIANCE
- 4.1 No right of ownership or interest in AlumExperts Ltd.’s intellectual property shall pass to the Buyer in relation to the Goods or Services provided under these Conditions.
- 4.2 Compliance with Irish intellectual property laws is imperative. Any Goods made to the Buyer’s specification necessitate the Buyer to warrant responsibility for their suitability and non-infringement.
5. QUOTATIONS AND PRICE
- 5.1 AlumExperts Ltd.’s quotations are valid for the specified period but subject to alteration due to changes in costs.
- 5.2 The Goods will be supplied Ex Works from AlumExperts Ltd.’s warehouse facility unless clearly stated otherwise.
- 5.3 AlumExperts Ltd. may adjust the Contract price due to variations in costs, including materials, services, wages, or other factors.
- 5.4 The price set out in the quotation is exclusive of any value-added tax, insurance, packaging, cost of carriage, and installation of the Goods.
- 5.5 Samples submitted to the Buyer are payable unless returned to AlumExperts Ltd., carriage paid, within 1 month.
6. LEGAL JURISDICTION
- 6.1 These Terms & Conditions are governed by and construed in accordance with the laws of Ireland. Both parties agree to submit to the exclusive jurisdiction of the Irish courts.
7. DELIVERY
- 7.1 Following receipt of payment, AlumExperts Ltd. shall make the Goods available for collection by the Buyer, or, if agreed, deliver the Goods to the location specified in the Order.
- 7.2 Delivery is deemed affected when Goods are collected by or on behalf of the Buyer, delivered to the Buyer’s premises, or loaded onto a carrier’s vehicle.
- 7.3 AlumExperts Ltd. will make reasonable efforts to meet specified delivery dates, but time is not of the essence, and any delay shall not constitute a breach.
- 7.4 The Buyer is liable for import costs, including duty and applicable taxes.
8. CANCELLATION AND CHANGES
- 8.1 No order accepted by AlumExperts Ltd. may be canceled without prior written consent. If cancellation is due to no fault of AlumExperts Ltd., an administration fee may apply.
- 8.2 Change requests by the Buyer may result in an amendment to the order price. Changes in scope or timescales may lead to price adjustments.
- 8.3 All orders must be completed within four months of placement or two months from the agreed delivery date, whichever is earliest, or storage fees may apply.
9. RETURNS POLICY
- 9.1 Returned items must be pre-agreed, listed on AlumExperts Ltd.’s core product list, and returned at the Buyer’s cost, in resaleable condition, within 6 months of receipt, and with a Return Material Authorization number issued by AlumExperts Ltd.
- 9.2 A 15% restocking fee will be applied to all returned items.
10. LIMITATION OF LIABILITY
- 10.1 To the maximum extent permitted by Irish law, AlumExperts Ltd. accepts no liability for any direct or indirect loss or damage, foreseeable or otherwise, arising from the use of Goods or Services.
- 10.2 Nothing in these Terms & Conditions excludes or restricts AlumExperts Ltd.’s liability for death or personal injury resulting from negligence or fraud.
- 10.3 Any terms found unlawful, invalid, or unenforceable shall be severed without affecting the validity of the remaining terms.
11. NOTICES
- 11.1 All notices/communications shall be given in Writing to AlumExperts Ltd.’s address.
- 11.2 AlumExperts Ltd. may send information about its products and services; the Buyer can unsubscribe by emailing info@alumexperts.ie.
12. AMENDMENTS
- 12.1 AlumExperts Ltd. reserves the right to change these Terms & Conditions. Changes will apply to pending and future orders.
13. THIRD PARTY RIGHTS
- 13.1 Nothing in these Terms & Conditions confers rights upon any third party.
14. WARRANTY
- 14.1 Where a warranty is in force, no part of these Terms & Conditions shall invalidate the warranty unless deemed by court or statute.
These Terms & Conditions constitute the agreement between AlumExperts Ltd. and the Buyer. By placing an order, the Buyer agrees to be bound by these terms.
